Prior Acts Coverage Protects Past Services

Based on my experience with multiple Tier 1 insurance providers, one essential endorsement often overlooked in professional liability is prior acts coverage (specifying the retro date). This is critical, particularly when firms are looking to switch their insurance providers, since this coverage protects services that were provided even before the effective start date of the policy. Common reasons for overlooking this coverage include premium-related concerns and not fully understanding the details of this coverage (even when underwriters explain its importance).

In my experience with one of our law firm clients, this firm switched to a new insurance provider effective January 2025 and did not opt for prior acts coverage. During May 2025, a former client of the law firm filed a lawsuit for negligent services rendered during 2023. The prior insurance provider denied the claim, stating the policy was not active, and the new insurance provider didn't cover it since prior acts coverage was not opted for. Although the law firm rushed to change the policy to add the prior acts date, it was too late since that endorsement's effective date cannot be backdated (even though prior acts can be backdated).

This resulted in a huge loss for that law firm. The loss was in the hundreds of thousands of dollars, while the prior acts coverage premium would have cost only a few thousand dollars additional.

I have multiple examples where this endorsement protected my clients, but the above negative case clearly outlines why I consider prior acts as an essential, cannot-ignore type of coverage.

One client in our portfolio, a mid-sized consulting firm, faced a situation where a misdirected email exposed sensitive client information. Thanks to this endorsement, the policy covered notification costs, legal fees, and even assisted with reputation management, turning what could have been a devastating incident into a contained issue.
